Independent sales organization (ISO)

An independent sales organization (ISO) is a company registered with a sponsor bank and the card networks to sell merchant accounts and payment services on behalf of an acquirer, earning residual income on the merchants it signs.

ISOs are the traditional sales channel of the card acquiring industry. An ISO signs a registration agreement with an acquirer or sponsor bank, then markets merchant accounts under that relationship. The merchant’s processing agreement is ultimately with the acquirer, but the ISO owns the sales relationship and earns residuals, an ongoing share of the processing revenue, for as long as the merchant keeps processing.

How it works

Suppose an ISO signs a restaurant processing $80,000 a month. The acquirer prices the account at interchange plus 25 basis points and shares a portion of that markup with the ISO under a residual split. If the ISO’s share works out to 15 basis points, it earns about $120 a month from that one merchant. That is small individually, but portfolios of hundreds or thousands of merchants build meaningful recurring revenue. Many ISOs also run sub-agent networks, splitting residuals again down the chain.

ISO versus PayFac

The two models differ in who holds the merchant relationship and the risk. An ISO refers merchants to an acquirer, which underwrites each one and carries the risk. A payment facilitator boards merchants as sub-merchants under its own master account and carries the risk itself. Many modern payments companies blend the models or operate both.

Why it matters

For an ISO, the processor behind the program determines everything about the business: pricing flexibility, boarding speed, how residuals are calculated and reported, and whether portfolio data is accessible or trapped in monthly PDFs. Multi-tenant tooling (separating sub-agents, channels, and portfolios cleanly) is what makes a growing ISO manageable.
